This contract has two purposes: To help the Software Group to pass the Tik-76.115 Software Project course and to transfer all rights to the materials created within this course to the Company.
The Language Center at the Helsinki University of Technology has rights that were given in the previous contract. The next owner of rights (the Company) understands this contract and respects it.
Saku Lehtinen has made graphics to improve the Software Group's work. Saku Lehtinen gives all rights to these graphics to the Software Group so that the Group can finish and deliver the product at the end of the course Tik-76.115. These rights allow to include the graphics in the product so that it can be given to The Language Center at the Helsinki University of Technology. This was agreed on in the previous contract.
The target is the rights to the LAW2-project that the Software Group, mentioned above, is making during the HUT course Tik-76.115 Software Project.
The target includes all material created during the project, including but not limited to, the source code, the executables and documentation by the end of the HUT course Tik-76.115 Software Project.
The target also includes all graphics used in the LAW2-project. The graphics made by Saku Lehtinen.
All these are from now on referred to as the Material.
Before the group has passed the Tik-76.115 Software Project -course, the rights to the Material belong to the Group. This contract does not prevent the members of the Software Group from passing the HUT course Tik-76.115 Software Project.
The Company will be allowed to check the material. The Company must inform the group all bugs which are found during testing period. The bugs are misfunctionalities betweem the software and the documention. For example, missing features are not bugs. The company informs about bugs with email. The software group fixes the bugs within the testing period.
After the testing period, the Company gets all rights to the material. At the same time, the Software Group and Saku Lehtinen lose their rights to the product.
The testing period starts when the Software Group gives Ms Ruth Vilmi the URL where she can download the software.
The testing period ends when the Company pays the price of the Material to the Software Group and Saku Lehtinen. This has to be done before end of May.
The price of the material is 5400 FIM. The share of software group members is 720 FIM and the share of Saku Lehtinen is 380 FIM. The price has to be given to each person separately.
Jani Suominen and Veni Lillkåll, who are from now on called as Support Team, promise to give consulting with fixing possibly found bugs after the testing period and possible further developing.
If the bug is service affecting, it will be fixed as soon as possible.
If the bug is non-service affecting, the time in which the fixing must start is ten (10) days.
The Support Team works by hourly salary. The salary is 100 FIM per hour. The details of the working methods are discussed between the Company and the Support Team outside this contract.
The support covers at most 20 hours per month. If more is required, the Support Team is not obliged to do more, but they can do so if it is possible for the members of the Support Team. Jani Suominen will be in Support Team up to May 1999 and Veni Lillkåll up to December 1998. All other support must be agreed separately.
The Software Group is not responsible for any direct or indirect damage caused by the software or other material.
There are three (3) identical copies of this contract, one for the Company, one for the Software Group and one for the Saku Lehtinen. Also a copy is available on the projects WWW-site during the HUT course Tik-76.115
The Software Group has the right to end this contract if the Company does not follow the contract.
If the company does not pay the price before the end of May, this contract is void and the Company receives no rights to the Material.
If the software group does not fix the bugs found in the testing period, the Company may choose not to buy the product. In this case, this contract becomes void and all rights to the product stay with the Software Group.
